SUSTAINABILITY GOVERNANCE STRUCTURE

Sustainability management at Türk Eximbank is based on the effective execution of sustainability and climate risk management processes, the holistic assessment of risks and opportunities, and the determination of the Bank’s sustainability strategies.

The Board of Directors is the senior management body that determines the Bank’s sustainability strategies and ensures their effective implementation. The Board of Directors ensures that strategic decisions are made by taking sustainability activities into account and aligning them with the Bank’s overall business strategies.

The Board of Directors is briefed on sustainability-related issues at least once a year, and processes are evaluated during these meetings.

At Türk Eximbank, the “Sustainability Committee” and the “Sustainability and Climate-Related Financial Risks Committee” are responsible for taking sustainability-related decisions and effectively implementing strategies.

Sustainability Committee, operates to ensure the adoption and implementation of Türk Eximbank’s sustainability strategies throughout the Institution. The Committee regularly evaluates the sustainability strategy and policies to identify areas for improvement and provides high-level governance support to these processes.

The Committee convened three times in 2025. During the meetings, approval decisions were made regarding the Independent Environmental and Social Advisory Panel, the GreenTİM collaboration project, and the Procedure for Environmental and Social Risk Management in Credit and Insurance Activities.

Operational Risk Committee is structured to systematically manage Türk Eximbank’s operational risks. The Committee assesses operational risks that may arise from environmental and social factors and develops policy and implementation recommendations to mitigate these risks.

The Committee analyzes the potential impacts on business processes and ensures that necessary measures are taken. It also addresses operational risks that may arise from sustainability and climate risks, such as Occupational Health and Safety (OHS), physical damage to assets, and Business Continuity, which are subject to the BRSA’s Internal Loss Classification criteria.

Sustainability and Climate-Related Financial Risks Committee, was established in 2024 to identify, monitor, and manage Türk Eximbank’s sustainability- and climate-related financial risks. The Committee undertakes important duties regarding the integration of sustainability- and climate-related risks into the Bank’s business strategies and risk management processes, taking into account the results of analyses. In this context, the Bank’s resilience to climate change is assessed through stress tests and scenario analyses.

It is planned for the Committee to convene at least once a year and for the Risk Management Directorate, which serves as the Committee’s secretariat, to carry out relevant reporting, including risk assessment outputs and stakeholder briefings.

At Türk Eximbank, internal sustainability coordination is carried out by the Sustainability Department through the “Environmental and Social Risk Assessment Team” and the “Sustainability Reporting and Coordination Team”:

Environmental and Social Risk Assessment Team is responsible for conducting environmental and social risk analyses in loan and insurance evaluation processes and ensures monitoring by establishing programs that operate throughout the loan term.

Sustainability Reporting and Coordination Team coordinates internal sustainability governance and carries out reporting processes in compliance with current legislation, particularly the TSRS.

Sustainability Department regularly reports its activities to the Sustainability Committee and contributes to ensuring alignment with the Bank’s sustainability strategy.

Risk Management Directorate is responsible for analyzing sustainability- and climate-related financial risks and integrating them into the Bank’s overall risk management framework from a holistic perspective. The Directorate models the financial impacts of these risks to establish a long-term risk outlook and contributes to strategic decision-making processes. Additionally, it supports a sustainable financial structure by assessing the potential impacts of sustainability-based environmental and social risks, and specifically climate risks, on the Bank’s balance sheet.
